Commenters App Terms and Conditions

本條款及細則（「本協議」）由你與  Commenters（即此應用程式，下稱「本應用程式」）的開發方（「開發方」）訂立，旨在規定你下載及使用本應用程式的權利及義務。你同意在使用本應用程式時，遵守本協議內的所有條款。

These Terms and Conditions (“the T&C”) are made between you and the developer (“the Developer”) of the mobile application known as “Commenters” (“the App”), to provide for the rights and duties of the parties when you download and use the App. You hereby agree to comply with the terms in the T&C when using the App.

 

第一部分：開發方提供的服務及權責

  1. 開發方同意，在你遵從本協議以及技術容許之下，為你提供以下服務：
    1. 提供一個容許用家連結、溝通、交流以及認識他人的平台；
    2. 向 NSS 聯校學生會平台（「聯校平台」）的會員學校的同學提供可享用商戶優惠及學生活動的平台；及
    3. 一如既往地提供一個容許同學及其他讀者可以匿名投稿的平台。
  2. 開發方可能會使用你在本應用程式內提供的個人資料作以下用途：
    1. 將匿名投稿的內容及/或論壇文章的內容及用戶名稱分享到 NSS 旗下的社交媒體專頁；及
    2. 確認你的學生身份，並在本應用程式內給予相應的用戶功能、商戶優惠、推薦，以及活動資訊。

但開發方不會在未經你同意下，將你的個人資料提供予任何第三方個人或組織。開發方會根據《個人資料（私隱）條例》處理你的個人資料。

  1. 開發方不會向你收取任何費用，作為使用本應用程式的代價，但此安排並不妨礙開發方藉其他方式收費或營利的權利，包括但不限於刊登廣告、舉行供用戶參與的計劃，以及售賣產品。
  2. 開發方不會為任何在本應用程式內出現的第三方內容負責，包括但不限於匿名投稿的內容、論壇文章內容，以及提供優惠的合作商戶的資料。
  3. 開發方保留所有匿名投稿內容的擁有權，但你將保留你在論壇發表內容的擁有權，並特許授權開發方使用你的內容。

 

第二部分：你的義務

  1. 你同意不會將你的帳戶提供予任何第三方使用。
  2. 你同意不會在未經開發方同意之下，開設多於一個帳戶。
  3. 你同意不會作出以下行為：
    1. 提供虛假或不準確的個人資料作帳戶登記或其他用途；
    2. 濫用本應用程式內提供的商戶優惠，包括但不限於提供你的電子會員卡供他人（不論該人本身是否聯校平台會員學校的學生）使用、使用他人的電子會員卡，以及在不符合資格的情況下享用商戶優惠（例如在已退學後繼續使用有原本就讀學校名稱的電子會員卡）；
    3. 違反開發方不時制定的論壇規則、優惠守則，以及其他使用守則；
    4. 透過本應用程式作出違反法律或本協議的言論及行為，或具有誤導性或欺詐性的言論及行為；
    5. 擅自發佈他人的不公開或機密資訊，或侵犯他人的財產權或知識產權；
    6. 發佈未經開發方同意及批准的商業廣告、任何形式的推廣，以及置入式廣告；
    7. 對開發方的產品（包括本應用程式）或其元件進行修改、轉譯、創造衍生作品或進行反向工程；
    8. 複製或向第三方分發本應用程式的原始碼、系統設定資訊；
    9. 向他人透露你在本應用程式所登記帳戶的登入密碼；
    10. 銷售、授權或購買你從開發方及透過本應用程式得到的帳戶及其他資訊；及
    11. 在未得到開發方同意的情況下，使用開發方的標誌、標記、知識產權及商標，或任何近似的標記，包括但不限於 NSS 所有社交媒體平台的標誌、本應用程式的標誌，以及背景圖片。

 

第三部分：其他條款

  1. 開發方有權調整你的用戶名稱及其他供他人識別的資料，以避免與他人用戶名稱或識別碼近似、侵犯或冒犯他人，或侵犯他人知識產權。
  2. 除本協議另有規定外，開發方保留所有本應用程式內受知識產權保護的內容的所有權利。
  3. 如果開發方認為你在使用本應用程式時或使用開發方的任何服務時，違反本協議或開發方不時訂立的規則、政策、條款，或違反法律規定，或可能招致開發方及其人員的法律責任時，開發方有權：
    1. 移除任何你發佈的內容；
    2. 中止對你現有的服務及/或拒絕任何未來的服務；及
    3. 保留你的個人資料及/或發佈的內容以便開發方採取法律行動或符合法規。
  4. 在你停止使用本應用程式後，或在開發方根據本協議停止向你提供服務後，本協議的第二部分仍然有效，而開發方仍須遵守本協議內有關處理你的個人資料的規則。
  5. 本協議的任何修改或寬免，以及開發方根據本協議作出的任何同意，須經書面（包括電子方式）作出方為有效。
  6. 就合約雙方及第三方的權利而言：
    1. 開發方保留一切未在本協議中授予你的權利；
    2. 你不能將根據本協議所得到的的權利及義務轉讓予他人；
    3. 開發方有權將根據本協議所得到的權利及義務轉讓予他人；及
    4. 本協議並不授予第三方任何權利及相應根據本協議獲得濟助的資格。
  7. 本協議按香港法律執行，並由香港的法院擁有獨家司法管轄權。
  8. 開發方有權不時更新本協議，而有關更新會以顯眼的方式在本應用程式內向你作出通知。如你不同意有關更新，可電郵開發方提出中止本協議。
  9. 儘管有上述協議條文，開發方在修改任何其不時訂立的規則、政策、條款，而沒有修改本協議正文時，開發方有權以在本應用程式的論壇內透過貼文通知，取代任何由本協議規定的通知方式。
  10. 開發方根據本協議或其他規則對你執行任何動作（例如將你的帳戶停權等）時，有權以在本應用程式的論壇內透過貼文通知，取代任何由本協議規定的通知方式。
  11. 本協議由你下載並首次使用本應用程式時開始生效。
  12. 如本協議的中文及英文版有異，以英文版為準。
  13. 在本協議中，所有提及本應用程式功能的字詞，應以開發方在當時提供的服務作理解。本協議中提及「NSS」的相關字詞，是指本協議末節開發方資訊中的Instagram專頁及其相關社交平台帳號。為免生疑問，現聲明開發方是NSS的管理人及擁有者。
  14. 如有任何爭議，開發方保留最終決定權。

 

Section 1: Services provided by the Developer and its duties

  1. The Developer agrees, subject to your compliance with the T&C and technical constraints, to provide you the following services :-
    1. A platform allowing its users to connect, communicate, social and known one another;
    2. A platform providing discounts offers and holding activities for the students of the member schools of the NSS League of Students’ Unions (“NSSLSU”); and
    3. A platform allowing students and other audiences of NSS to write-in anonymously.
  2. The Developer may use your personal information provided in the App for the following purposes :-
    1. Sharing the anonymously submitted posts and/or forum posts (with the poster’s user name) to the social media pages of NSS; and
    2. Confirming your identity as a student, and granting you the applicable user functions, discount offers, recommendations, and activities information.

However, the Developer will not provide your personal information to any third parties without your prior consent. The Developer will handle your personal information in accordance with the Personal Data (Privacy) Ordinance.

  1. The Developer does not charge you any fees as the consideration for your use of the App. However, this shall not prevent the Developer from having the right to monetise the App, including but not limited to posting advertisements, holding events that users may participate in, and selling products.
  2. The Developer shall not be responsible for any third party content appearing in the App, including but not limited to anonymously submitted posts and comments, forum posts and comments, and information about shops offering discounts.
  3. The Developer reserves the ownership and copyright of all anonymously submitted posts; but you will retain the ownership of the forum posts you have posted in the App, and grant the Developer a special licence to use the said content in accordance with the T&C.

 

Section 2: Your responsibilities

  1. You agree that you will not provide your account in the App to any third parties for their use and access.
  2. You agree that you will not open more than one account in the App unless the Developer gives permission.
  3. You agree that you will not do any of the following acts :-
    1. Provide false or inaccurate personal information for account registration or other purposes;
    2. Abuse the discount offers provided in the App, including but not limited to allowing others to use your digital membership card (whether or not that person is entitled to such benefits in his/her own right), using another person’s digital membership card, and claiming member benefits when you are ineligible (such as continued usage of a digital membership card with the school name which you previously studied in);
    3. Breach the forum rules, discount offers rules and other rules of the App set by the Developer from time to time;
    4. Post things or do acts through the App which are unlawful or in contravention of the T&C, or post things or do acts that are misleading or fraudulent in nature;
    5. Post secret or confidential information of others without permission of its owner, or things that may infringe others’ proprietary or intellectual property rights;
    6. Post commercial advertisements, any kind of promotion, and embedded marketing without the Developer’s permission;
    7. Amend, translate, make derived products from, or reverse engineer the Developer’s products (including the App);
    8. Copy or distribute to third parties the source code and system settings of the App;
    9. Disclose to others the login password of your account in the App;
    10. Sell, licence, or purchase accounts and other information you obtain or retrieve from the Developer and the App; and
    11. Use the Developer’s icons, marks, intellectual property and trademark, or any similar imagery, including but not limited to the icons of all social media platforms of NSS, the icon(s) of the App, and background images, without the Developer’s permission.

 

Section 3: Other provisions

  1. The Developer has the right to amend your account username and other identification information in the App, to avoid similarity with other usernames or identification information, breach or offence to others, or infringement of intellectual property.
  2. Unless otherwise provided in the T&C, the Developer reserves all rights of the contents in the App which are protected by intellectual property.
  3. If the Developer is of the opinion that, during your use of the App or other services provided by the Developer, you have breached the T&C, or any rules, policies or terms set by the Developer from time to time, or any legal provisions, or may attract liability for the Developer and its officers, the Developer may :-
    1. Remove any content you posted;
    2. Terminate existing services and/or refuse providing services to you in the future; and
    3. Retain your personal information and/or content you have posted in order to facilitate the Developer’s legal actions or legal compliance.
  4. After you have stopped using the App, or after the Developer has stopped providing services to you under the T&C, Section 2 of the T&C shall remain in force, and the Developer shall continue to be bound by the provisions relating to the handling of your personal information.
  5. Any changes or waivers to the T&C, and any consent made by the Developer under the T&C, shall be made in written form (including those delivered electronically).
  6. As to the rights of the parties to the T&C and third parties :-
    1. The Developer reserves all rights not granted to you in the T&C;
    2. You may not transfer the rights and responsibilities obtained through the T&C to others:
    3. The Developer may transfer the rights and responsibilities obtained under the T&C to others; and
    4. The T&C does not give any rights and relief to third parties.
  7. The T&C is governed by Hong Kong laws. Hong Kong courts shall have exclusive jurisdiction.
  8. The Developer may update the T&C from time to time, which you will receive a prominent notification in the App. If you disagree with any updates, you may terminate the T&C by emailing the Developer.
  9. Although the T&C provides otherwise, the Developer may use a forum post in the App instead of the prescribed method of notice when the Developer amends its rules, policies or terms of the App without altering the texts of the T&C.
  10. The Developer may use a forum post in the App instead of the prescribed method of notice when it executes any action on you (such as suspending your account) pursuant to the T&C or other rules.
  11. The T&C is effective from the time you download the App and first use it.
  12. The English version of the T&C shall prevail in case of conflict.
  13. All references to functionalities of the App in the T&C shall be construed in light of the services provided by the Developer at the relevant time. All references to “NSS” and relevant terms are references to the Instagram page named in the section of Developer’s Information at the bottom of this document and its related social media accounts. For the avoidance of doubt, it is declared that the Developer is the administrator and owner of NSS.
  14. The Developer shall make the final decision in case of dispute.
